01Acceptance of terms
By accessing ngconsulting.co or engaging Nextgen Consulting (“Nextgen”, “we”, “us”), you agree to these Terms of Service. If you are accepting on behalf of a company, you confirm you have authority to bind it. If you do not agree, please do not use the website or our services.
02Our services
We provide IT services including software, web and mobile development, cloud and DevOps, data and AI, design, cybersecurity, testing, managed support and staffing. The exact scope, deliverables, timelines and fees for any engagement are set out in a written proposal, Statement of Work (SOW) or Master Services Agreement (MSA). If those documents conflict with these terms, the signed agreement prevails.
03Use of the website
You agree not to:
- Use the website for any unlawful purpose or in breach of these terms.
- Attempt to gain unauthorised access to the website, its servers or connected systems.
- Introduce viruses, malware or any harmful code.
- Scrape, copy or republish website content without our written permission.
- Submit false or misleading information through our forms.
04Client responsibilities
To deliver on time, we rely on you to provide timely access to information, systems, content and decision-makers; to review and approve work within agreed timeframes; and to ensure that any material you give us does not infringe third-party rights. Delays caused by missing inputs may affect timelines and fees.
05Fees & payment
Fees are as stated in the applicable proposal or SOW and are exclusive of GST and other applicable taxes. Unless agreed otherwise, invoices are payable within [15] days. We may pause work on overdue accounts after written notice. Changes to agreed scope are handled through a written change request with an updated estimate before work begins.
06Intellectual property
On receipt of full payment, ownership of the custom deliverables created specifically for you — including source code and designs — transfers to you. We retain ownership of our pre-existing tools, libraries, know-how and generic components, and grant you a perpetual, non-exclusive licence to use them as part of the deliverables. Open-source components remain subject to their own licences. All content on this website belongs to Nextgen or its licensors.
07Confidentiality
Each party will keep the other’s confidential information private and use it only for the engagement. We are happy to sign a mutual Non-Disclosure Agreement before you share sensitive details.
08Warranties & support
We perform services with reasonable skill and care in line with industry practice. Defects reported within 3 months of go-live that are caused by our work will be fixed at no extra cost. Ongoing maintenance and support are available under a separate support agreement. Except as stated, the website and services are provided “as is” without other warranties.
09Limitation of liability
To the extent permitted by law, neither party is liable for indirect, incidental or consequential losses, including loss of profit, revenue or data. Our total liability under any engagement is limited to the fees paid to us for that engagement in the [12] months before the claim.
10Termination
Either party may end an engagement as set out in the applicable agreement, or with [30] days’ written notice where none is specified. You will pay for work completed up to the termination date, and we will hand over all completed deliverables on payment.
11Third-party links & services
The website may link to third-party sites, and projects may use third-party platforms (such as cloud providers or payment gateways). We are not responsible for their content, availability or terms, which you accept directly with them.
12Governing law & disputes
These terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith; if unresolved within 30 days, it will be subject to the exclusive jurisdiction of the courts having jurisdiction over our registered office.
